1. Agreement and Business Identity

These Terms of Service (“Terms”) are a binding agreement between you and Vitalis Health Enterprises LLC, doing business as Vitalis Health & Performance (“Vitalis,” “we,” “us,” or “our”). They apply to your use of www.vitalishealthco.com, our online forms and chat experience, appointment scheduling, communications, and services that reference these Terms.

By accessing the website, requesting information, booking a service, or opting into a communication program, you acknowledge that you have read and agree to the applicable portions of these Terms. If you do not agree, do not use the website or the affected service.

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement to use our website or book services. If you act for another person or an organization, you represent that you have authority to do so. Clinical eligibility for a particular service is determined separately through the applicable intake and screening process.

3. Website and Wellness Services

Vitalis provides mobile concierge wellness services in the Dallas–Fort Worth area. Website content describes our services generally and may change without notice. Availability, pricing, service areas, ingredients, timing, and eligibility remain subject to confirmation.

Information on the website is educational and is not a diagnosis, prescription, or substitute for advice from a qualified healthcare professional who has evaluated you. No provider-patient relationship is created merely by visiting the website, using chat, sending an email or text, or requesting information.

Every requested service remains subject to appropriate screening, professional judgment, applicable protocols, and your informed consent. Vitalis may decline, modify, postpone, or stop a service when reasonably necessary for safety, clinical suitability, legal compliance, or operational reasons. Individual experiences and outcomes vary; no specific result is promised.

4. Appointments, Pricing, and Payments

Appointments may be scheduled through Acuity Scheduling or another designated provider. You agree to provide accurate contact, location, and scheduling information and to update it if it changes. Booking is not final until confirmed through the scheduling process.

Prices, travel charges, deposits, payment requirements, cancellation or rescheduling rules, refunds, and other service-specific conditions displayed during booking or provided before service are incorporated into these Terms. If a booking-specific term conflicts with a general provision here, the booking-specific term controls for that appointment.

Payment services may be operated by third-party processors. Vitalis does not necessarily receive or retain complete payment card information. You authorize applicable charges disclosed during booking and are responsible for charges you validly incur.

5. SMS Messaging Terms

The Vitalis Health & Performance Messaging Program is operated by Vitalis Health Enterprises LLC. People who separately and affirmatively opt in may receive appointment confirmations and reminders, requested follow-ups, customer-care messages, service updates, wellness information, and, where separately selected, promotional offers.

You may opt in through the chat widget or another clearly identified consent method presented by Vitalis. Consent to receive marketing text messages is optional and is not a condition of purchasing any goods or services. Consent applies only to Vitalis and to the categories of messages you selected.

• Message frequency: Message frequency varies based on your appointments, interactions, and communication preferences.
• Charges: Message and data rates may apply to messages sent to you and messages you send to us. Contact your wireless provider with questions about your text or data plan.
• Opt out: You may cancel SMS messages at any time by replying STOP to the sending number. After you send STOP, we may send one message confirming that you have been unsubscribed. You will then receive no additional messages under that program unless you opt in again.

• Delivery: Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your wireless provider and is not guaranteed.

We honor opt-out requests in accordance with applicable requirements. If you use multiple mobile numbers or participate in more than one separately identified program, you may need to opt out from each number or program. SMS is not guaranteed to be secure; do not send detailed medical information or emergency requests by text.

Our handling of mobile information and consent records is described in our Privacy Policy. In particular, mobile information and SMS opt-in consent are not provided to third parties or affiliates for their own marketing or promotional purposes.

6. Electronic Communications

When you contact us electronically or request electronic notices, you consent to receive responsive records and communications electronically where permitted. You are responsible for keeping your contact information current. Promotional email may be discontinued using the unsubscribe mechanism in the message; SMS preferences are governed by Section 5.

7. Acceptable Website Use

You agree not to:

• use the website for an unlawful, fraudulent, harmful, or deceptive purpose;
• impersonate another person or submit information without authorization;
• interfere with website security, availability, or normal operation;
• introduce malicious code, scrape the website through abusive automated means, or attempt unauthorized access;
• copy, modify, distribute, or commercially exploit website content except as permitted by law or written authorization; or
• use chat, email, or SMS to transmit unlawful, threatening, abusive, or infringing material.

8. Intellectual Property

The website and its branding, text, graphics, logos, photographs, design, and other content are owned by Vitalis or used with permission and are protected by applicable intellectual-property laws. Vitalis grants you a limited, revocable, non-exclusive, non-transferable right to access the website for personal, lawful use. No other right or license is granted.

9. Third-Party Services and Links

The website may link to or embed services operated by third parties, including Acuity Scheduling and communications, analytics, payment, or hosting providers. Third-party services are governed by their own terms and privacy practices. Vitalis is not responsible for a third party’s independent content, availability, security, or conduct, except to the extent responsibility cannot be excluded by law.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information, including special restrictions that apply to mobile numbers and SMS consent data. The Privacy Policy is incorporated into these Terms by reference.

Where a separate Notice of Privacy Practices applies to protected health information, that notice governs the protected health information within its scope.

11. Website Disclaimers

To the fullest extent permitted by law, the website is provided on an “as is” and “as available” basis. We do not warrant that the website will always be uninterrupted, error-free, secure, or free from harmful components, or that website content will always be complete, current, or suitable for every purpose.

Nothing in these Terms excludes a warranty, duty, or remedy that applicable law does not permit us to exclude.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Vitalis and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of, or inability to use, the website or electronic communications.

This website limitation does not limit responsibility that cannot legally be limited, and it does not replace the terms of any separate clinical consent or service agreement governing care actually provided.

13. Responsibility for Misuse

To the extent permitted by law, you agree to be responsible for losses, claims, and reasonable costs resulting from your unlawful misuse of the website, violation of these Terms, infringement of another person’s rights, or submission of information you were not authorized to provide.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute that is not resolved informally will be brought in a court of competent jurisdiction in Texas, unless applicable law requires a different forum.

15. Changes to These Terms

We may update these Terms to reflect changes in our services, practices, technologies, or legal obligations. Updated Terms will be posted at this URL with a revised “Last updated” date. Changes apply prospectively unless applicable law permits or requires otherwise.

16. General Provisions

If a provision of these Terms is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms, the Privacy Policy, and any applicable booking, clinical consent, or service-specific terms form the applicable agreement for the subject matter they govern.
